Supervisory Board

The Supervisory Board operates in accordance with applicable laws, the company’s Articles of Association, and its internal rules of procedure. In doing so, it also follows the recommendations and principles of the German Corporate Governance Code (DCGK). Its core responsibilities include advising and monitoring the Management Board in the conduct of the company’s business, as well as participating in key decisions of fundamental importance through approval requirements.

The Supervisory Board is responsible for appointing the members of the Management Board. In addition, based on proposals from the Executive Committee, it adopts a transparent and comprehensible remuneration system for the Management Board. In the event of significant changes, and at least every four years, this system is submitted to the Annual General Meeting for approval.
