General Terms and Conditions and Supplementary Contractual Provisions of TELENORMA AG

These documents contain the general commercial, service-related, and software-related foundations for cooperation with TELENORMA AG. They regulate, in particular, setup, maintenance, software usage, payment terms, third-party products, liability, SaaS services, system availability, warranty, confidentiality, data protection, as well as supplementary information sheets on interfaces and customer-owned hardware.

They apply as supplements to offers, order confirmations, individual contracts, framework project agreements, usage agreements, and service descriptions, insofar as they are incorporated therein.

Terms of Use for Kasse2020, MOD CENTER, and NENGO

These terms of use regulate the supplementary usage of TELENORMA-proprietary software modules, in particular Kasse2020, MOD CENTER, and NENGO. They concern the activation, usage, responsibility, billing, and possible deactivation of modifying modules and extensions in connection with HANDELSFAKTOR.

The usage agreement does not replace existing HANDELSFAKTOR or SaaS agreements, but rather supplements them for the use of additional modules, functions, editions, and administrative extensions.

Typical application cases:

  • Usage of Kasse2020 modules.
  • Activation of functions in MOD CENTER.
  • Usage of NENGO.
  • Modular extensions of the HANDELSFAKTOR POS solution.
  • Sponsored or chargeable modules.

Software Development on Customer Request

These conditions apply to customer-specific software development, adjustments, extensions, configurations, integrations, interface work, analysis, consulting, project, documentation, handover, instruction, migration, test, support, and other support services provided by TELENORMA AG, insofar as they are performed under a customer order.

They regulate, in particular, the type of contract, effort estimates, billing based on effort, cooperation obligations, scope of services, change requests, third-party systems, interfaces, customer-owned infrastructure, source code, documentation, usage rights, acceptance, warranty, support limitation, data protection, AI/analysis functions, and liability.

Typical application cases:

  • Customer-specific software development.
  • Individual adjustments to existing TELENORMA systems.
  • Interface and integration development.
  • Migrations and technical handovers.
  • Development of apps, portals, dashboards, or platform components.
  • Customer-specific extensions of SaaS, POS, or business solutions.
  • Technical support for in-house operation, handover, or further development.

Software as a Service / HANDELSFAKTOR / POS Systems

Supplementary Contractual Provisions for Software as a Service The supplementary contractual provisions for Software-as-a-Service (SaaS) services regulate the usage and operational support of software provided by TELENORMA via the Internet. These include, in particular:

  • Provision of the software within the agreed scope of services and functionality.
  • Storage of POS data.
  • System operation.
  • Usage rights and rights to data.
  • Maintenance, system availability, and incident reporting.
  • Warranty, remuneration, payment terms, confidentiality, and data protection.

These conditions apply to SaaS services only if they have been effectively incorporated into the respective contractual relationship.

  • Cloud-based POS systems.
  • Central software modules.
  • POS data processing in the data center.
  • Ongoing system operation by TELENORMA.

Cloud-TSE and Fiscal POS System Services

The Cloud-TSE agreement regulates the use of the TELENORMA Cloud-TSE solution based on fiscal cloud services. The subject matter of the contract includes, in particular, Cloud-TSE Software as a Service, services, as well as the provision and maintenance of the necessary software for this purpose.

The documents include, among other things, a performance description for Cloud-TSE, service levels, terms of use, general terms and conditions, SaaS provisions, as well as supplementary information sheets on interfaces and customer-owned hardware. The responsibility for the legally compliant operation of the electronic recording system and for compliance with tax obligations remains with the taxpayer or customer.

Cash Management, Recording Obligations, and Documentation

This information sheet contains guidance on using the HANDELSFAKTOR POS system in connection with recording obligations, cash register audits, operating procedures, audit security, procedural documentation, cash books, and internal cash management instructions.

It describes, in particular, fundamental recommendations for daily handling of the cash register and cash, operating procedures within the HANDELSFAKTOR POS system, as well as information on Z-receipts, returns, cash inventory, cash books, and the retention of cash register documents. The information sheet does not replace tax advice or the coordination of customer-side processes with a tax advisor.

Information Sheet: Creation of Interfaces within the Scope of SaaS Agreements This information sheet describes the specific requirements, responsibilities, and service boundaries regarding the creation, installation, usage, and troubleshooting of interfaces between TELENORMA systems and third-party systems.

Fundamentally, interfaces require functional, documented, and sufficiently described import/export interfaces or other suitable methods for data exchange with the system to be connected. The mere provision of database access, shop access, or incomplete technical information generally does not suffice as adequate interface documentation.

Customer-Owned Hardware and Infrastructure

Information Sheet: Customer-Owned Hardware within the Scope of HANDELSFAKTOR SaaS Agreements This information sheet describes the demarcation of responsibility when customers use their own hardware, POS computers, servers, networks, peripheral devices, printers, scanners, operating systems, or other infrastructure in connection with TELENORMA services.

It clarifies that installation, maintenance, driver installation, commissioning of peripheral devices, and support services in connection with customer-owned hardware may be provided separately based on effort. The availability of SaaS software in the data center is to be considered separately from this.

Data Protection and Data Processing

Data Processing Agreement To the extent that TELENORMA processes personal data on behalf of a client, the necessary data protection agreements are concluded separately. The allocation of roles under data protection law depends on the specific product, project, operating model, and the actual data processing involved.

The data processing agreement regulates, in particular, the subject matter and duration of processing, responsibilities, instructions, obligations of the processor, duties to cooperate, evidence requirements, subcontractors, information obligations, the deletion and return of data, as well as liability and data protection regulations.
